TERMS OF SERVICE / TERMS AND CONDITIONS

Nimi Hotels (“Nimi,” “we,” “us,” or “our”) operates guest-facing reservation and guest service experiences for properties we manage, including The Dylin, located in Madison, Wisconsin (the “Property”). These Terms and Conditions (these “Terms”) govern (i) your reservation and stay at the Property and (ii) your access to and use of our websites and other online services that link to these Terms (collectively, the “Sites”), along with related guest services we provide (collectively, the “Services”).By clicking “I Agree,” making a reservation, completing online check-in, staying at the Property, or otherwise accessing or using the Sites or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (the “Privacy Policy”). If you do not agree, do not use the Sites or Services and do not make a reservation.

1) ELIGIBILITY AND VERIFICATION
Minimum Age
To make a reservation, check in, or stay at the Property, you must be at least 21 years of age. Any such requirement will be disclosed at the time of booking or otherwise communicated to you.By making a reservation, checking in, or using the Sites or Services, you represent and warrant that:You meet the applicable minimum age requirement and have the legal capacity to enter into a binding contract.You will comply with these Terms, Property Rules, and all applicable laws, rules, and regulations.The reservation is made for your own stay unless we expressly approve otherwise (for example, certain corporate bookings, group reservations, or reservations made by an authorized employer on your behalf).
Identity Verification and Fraud Prevention
We may require reasonable verification to help prevent fraud and protect guests and the Property. This may include collecting and verifying government-issued photo identification and verifying payment information and/or the payment method used for the reservation.Because the property does not have a traditional front desk, verification is typically completed through an online check-in or registration process prior to arrival. If you fail to complete verification by the deadline communicated to you, we may cancel the reservation and/or deny access to the Property, subject to the applicable cancellation policy and applicable law.
Longer Stays
For stays of 28 nights or more, additional terms may apply and we may require additional documentation, including execution of a separate rental agreement or addendum, to the extent required by applicable law.
2) PRIVACY
Your privacy matters to Nimi. In order to operate the Sites and Services, process reservations, and provide guest services, we may collect and process information from and about you, including personal information, in connection with your use of the Sites or Services and your reservation and stay at the Property.Our collection, use, and disclosure of information is described in our Privacy Policy, which is incorporated into these Terms by reference. By accessing or using the Sites or Services, making a reservation, or staying at the Property, you acknowledge that we may collect, use, and share information as described in the Privacy Policy.
3) MODIFICATION OF THESE TERMS
We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of these Terms and post the updated version on the Sites (or otherwise make them available to you).Your continued use of the Sites or Services, or your continued reservation or stay after updated Terms become effective, constitutes your acceptance of the updated Terms to the extent permitted by applicable law.If a change materially affects your rights or obligations, we will use reasonable efforts to provide notice, such as by posting a prominent notice on the Sites and/or sending an email to the address associated with your reservation. In some circumstances, we may require you to affirmatively accept the updated Terms before you can make a new reservation or use certain Site features.If any provision of these Terms is found to be unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect.
4) LICENSE GRANT; UNAUTHORIZED USE
License
Subject to your compliance with these Terms, Nimi grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Sites and Services solely for your personal, non-commercial use in connection with learning about the Property, making reservations, and managing your stay.
Restrictions
You agree not to: (a) copy, modify, distribute, sell, or lease any part of the Sites or Services; (b) reverse engineer or attempt to extract source code from the Sites or Services; (c) access the Sites or Services using automated means (including bots, scrapers, or spiders) except as permitted by applicable law; (d) interfere with or disrupt the Sites or Services; or (e) use the Sites or Services for any unlawful, fraudulent, or unauthorized purpose.
Unauthorized Use and Protection of the Sites
We may take reasonable steps to prevent or address fraud, abuse, or unauthorized use of the Sites or Services, including implementing technical measures and restricting access where appropriate. We may also suspend or terminate access to the Sites or cancel reservations as permitted by these Terms if we reasonably believe there has been fraudulent activity, misuse, or a violation of these Terms.
5) GENERAL RULES:
General Rules and Property Rules
It is your responsibility to read and understand these Terms and to ensure that everyone in your party and any permitted visitors comply with these Terms and any property policies, house rules, and posted notices (collectively, “Property Rules”). Compliance helps ensure a safe and enjoyable environment for all guests.To the extent permitted by law, we may refuse service, cancel a reservation, or require you to leave the Property (without refund) if you or anyone in your party violates these Terms or Property Rules, engages in unlawful activity, or interferes with the safety, security, or comfort of others.
Reservation confirmation
A reservation is not binding until it is confirmed by us (typically through a confirmation email, message, or confirmation number). If you do not receive confirmation after booking, please contact us at reservations@nimihotels.com or 608-351-0329.
Common areas and parking
Access to common areas is subject to these Terms and all Property Rules, including any eligibility requirements, capacity limits, posted hours, closures, or restrictions. Parking (if available) is a paid service and may require advance purchase or registration. Availability is not guaranteed.
Quiet hours
Quiet hours are 9:00 p.m. to 8:00 a.m. local time. You agree to be a good neighbor and not create excessive noise or disturbances at any time.
Unavailability; Relocation; Refunds
On rare occasions, an accommodation may become unavailable due to circumstances beyond our reasonable control (for example, significant maintenance issues, utility outages, or damage). If this occurs, we will use reasonable efforts to offer comparable alternate accommodations or an alternative solution. If we are unable to do so, or you choose not to accept an alternative we offer, we will provide a refund for the unused portion of your stay. To the extent permitted by law, this will be your exclusive remedy for accommodation unavailability.
Amenities and Closures
Amenities vary by property and may change from time to time. Amenities may be unavailable or restricted due to maintenance, safety issues, private events, capacity controls, or other operational needs. We are not responsible for the unavailability of any amenity.
Transient Use; No Tenancy
Your reservation and stay are for temporary, transient lodging only. You agree that your reservation does not create a lease or tenancy, and you will not claim any residency, tenant rights, or similar rights. Nothing in these Terms is intended to create a landlord-tenant relationship.
Parking Disclaimer
If you use any parking areas made available in connection with the Property, you understand that we are only making a parking space available (if available). To the extent permitted by law, Nimi Hotels and the Property are not responsible for your vehicle or its contents, including loss, theft, or damage.
No Smoking / No Vaping
Smoking and vaping are prohibited inside accommodations and in any other areas designated as non-smoking, which may include balconies, patios, and common areas.If we determine that smoking or vaping occurred in an accommodation or a prohibited area, you agree you may be charged cleaning, deodorization, and damage fees, as well as any other costs required to remediate the condition, as disclosed at booking, in your confirmation, in pre-arrival communications, or in posted Property Rules, and as permitted by applicable law.
Care of the Property; Cleaning; Damage; Charges
You agree to keep your accommodation in reasonable condition and to use the Property in a safe and lawful manner. You are responsible for loss or damage caused by you, members of your party, or your permitted visitors, including damage to furnishings, fixtures, finishes, appliances, equipment, and common areas.We may charge fees for excessive cleaning, repairs, replacement of missing items, smoking remediation, unauthorized pets, unauthorized occupancy, parking violations, or other costs resulting from misuse or damage. Charges may be disclosed at the time of booking, in your confirmation, in pre-arrival communications, or in posted Property Rules. Where permitted by law, you authorize us to charge the payment method on file for such amounts.
Housekeeping
Unless otherwise stated in your rate plan or reservation details, daily housekeeping is not provided. Additional housekeeping, if available, may be offered for an added fee.
Parties, Events, and Disturbances
Parties, open-invite gatherings, or disruptive events are not permitted in accommodations or common areas without our prior written approval. If you violate this policy, we may take reasonable steps to protect other guests and the Property, which may include requiring you to vacate and/or assessing additional charges as disclosed at booking, in your confirmation, in pre-arrival communications, or in posted Property Rules, to the extent permitted by law.
Photography and Filming
Commercial photography or video recording is not permitted on the Property (including accommodations and common areas) without our prior written approval. Personal, non-commercial photography and video are permitted so long as they do not disrupt operations or other guests and do not violate privacy, security, or posted rules. Requests for commercial shoots should be submitted to reservations@nimihotels.com or 608-351-0329.
Personal Property; Lost and Found
You are responsible for safeguarding your cash, valuables, and personal property. To the extent permitted by law, Nimi Hotels and the Property are not responsible for loss, theft, or damage to personal property brought onto the Property, left in a vehicle, or otherwise stored on-site.
Lost and found
If items are found after departure, we may attempt to contact you using the information on file. We may store items for a limited period and then dispose of them in a reasonable manner, unless applicable law requires otherwise. We are not responsible for any loss or damage to items retained or shipped, and you may be responsible for shipping and handling charges.
Unlawful Activity
The Property may not be used for unlawful activity. Any suspected unlawful activity may be reported to law enforcement and may result in immediate termination of your stay without refund, to the extent permitted by law.
Online Check-In; Access; Check-Out; ExtensionsOnline Check-In; Identity and Verification
The Property does not operate a traditional front desk. Prior to arrival, you will be asked to complete an online registration/check-in process, which typically opens approximately five (5) days before arrival. As part of this process, we may require a valid government-issued photo ID and may scan/collect ID information to verify identity and help prevent fraud. We may also request additional verification or payment validation if needed.If you do not complete online check-in and any required verification by the deadline communicated to you, we may cancel your reservation and/or deny access, subject to the applicable cancellation policy and applicable law.
Access Codes; Guest Responsibility
Access to the Property and your accommodation is provided via code-based entry. You are responsible for safeguarding access codes and ensuring they are not shared with unauthorized persons. If we believe an access code has been shared or misused, we may reset codes and/or take other reasonable steps to protect the Property and guests, which may include canceling access for security reasons as permitted by these Terms and applicable law.
Check-In/Check-Out Times; Late Check-Out
Check-in and check-out times will be provided during the booking process or in your confirmation communications. Late check-out may disrupt operations and cleaning schedules. Late check-out requests are subject to availability and may result in additional charges, as disclosed at booking or in pre-arrival communications.
Extending Your Stay
Requests to extend a stay must be made no later than 24 hours before scheduled departure and are subject to availability and confirmation by us. To request an extension, contact us at reservations@nimihotels.com or 608-351-0329 (or through any messaging method we make available). We do not guarantee extensions.
Departure Procedures
You agree to follow departure instructions provided in pre-arrival communications or posted Property Rules, including securing your accommodation upon departure.
Occupancy; Additional Guests and Visitors
You must not exceed the stated occupancy limit for your accommodation at any time. Only the guests included on the reservation (“Registered Guests”) are permitted to stay overnight. Visitors may be restricted by Property Rules and may not exceed any stated limits.If you exceed occupancy limits, fail to register guests as required, or otherwise violate this section, we may cancel the reservation, require you to leave, and/or assess additional charges as disclosed at booking, in your confirmation, in pre-arrival communications, or in posted Property Rules, to the extent permitted by law.
Pets
Pets are permitted only if your reservation is booked under a pet-friendly accommodation and the Property’s pet policy allows it. If pets are allowed:Pets must be disclosed prior to arrival and applicable fees must be paid.Only dogs may be permitted (unless we state otherwise), subject to limits on number and size.Pets must be leashed or in a carrier in common areas and may be restricted to designated pet-friendly spaces.You are responsible for cleaning up after your pet and for any damage, noise issues, or disturbances caused by your pet.
Service animals
Service animals are permitted as required by law and are not subject to pet fees. We may ask only the questions permitted by law to determine whether an animal is a service animal.Failure to disclose a pet (when required) or violation of the pet policy may result in additional charges and/or termination of the stay without refund, to the extent permitted by law.
6) ADDITIONAL SERVICES
Additional Services (Wi-Fi, TV/Streaming, and Building Systems)
We may provide Wi-Fi, television/streaming access, and other in-room or building services as a convenience. Service availability may vary by accommodation and may be provided in whole or in part by third-party vendors or building systems.If you experience an issue, please notify guest support promptly. We will use reasonable efforts to address interruptions; however, service outages, content availability, and performance may depend on third-party providers and building infrastructure. To the extent permitted by law, we do not provide refunds for temporary interruptions, limitations, or incompatibilities related to these services.
Parking
Parking is a paid service and may require advance purchase, registration, or confirmation. Parking availability is limited and not guaranteed. Where permitted by law, you acknowledge that any parking made available is provided as a convenience and that Nimi Hotels is not responsible for loss, theft, or damage to vehicles or property left in vehicles.
Access and Inspection (Right of Entry)
The property is operated without a traditional front desk. To support safety, maintenance, and operations, we reserve the right to enter an accommodation when reasonably necessary, including for maintenance, repairs, housekeeping (if applicable), emergency response, verification of compliance with these Terms and Property Rules, or to prevent or address suspected violations.When practicable, we will provide notice and/or knock and announce before entering. We may enter without notice in emergencies or when we reasonably believe entry is necessary to protect persons or property, comply with law, or prevent damage.If we determine, in our reasonable discretion, that you or someone in your party has materially violated these Terms or Property Rules, we may terminate your stay and require you to vacate the Property. In such cases, you may not be entitled to a refund, to the extent permitted by law.
Fees and PaymentsPricing and fees.
Rates, taxes, and fees applicable to your reservation are disclosed during the booking process and/or in your confirmation materials. Additional charges may apply in certain situations (for example, unauthorized pets, smoking/vaping remediation, damages, excessive cleaning, unauthorized occupancy, or parking-related charges). Where applicable, these charges will be disclosed at booking, in pre-arrival communications, and/or in posted Property Rules.
Full prepayment.
Unless otherwise stated at booking, reservations are paid in full in advance using an accepted payment method. We generally do not support split payments.
Extended stays (28-night billing).
For stays of 28 nights or more, we may process charges in 28-day increments (including applicable taxes and fees) and may require additional documentation and/or acceptance of an extended-stay addendum. If a scheduled payment is declined or not received when due, we may suspend Services and/or terminate the stay, to the extent permitted by applicable law.
Authorization holds for incidentals.
We place an authorization hold (a temporary pre-authorization) on your payment method for incidentals and potential additional charges. The hold amount is typically:
$200 for most accommodations; and
up to $500 for select larger accommodations.
The applicable authorization amount will be disclosed at booking or in pre-arrival communications. Release timing is controlled by your card issuer and may take several business days.
Additional charges after booking.
You authorize us to charge the payment method on file for amounts owed in connection with your reservation or stay, including unpaid balances, damages, missing items, excessive cleaning, smoking/vaping remediation, unauthorized pets, unauthorized occupancy, and other charges permitted by these Terms and applicable law. We will use reasonable efforts to provide an itemization upon request.
Payment processing.
Payments are processed through third-party payment processors. By making a reservation or paying through our Sites or Services, you agree to the payment processor’s applicable terms and authorize us to share information reasonably necessary to complete transactions and to help manage fraud prevention and payment disputes.
Taxes.
You are responsible for all applicable taxes and government charges associated with your reservation and stay, which may be collected at booking or during/after your stay, as required by law.
Modifications to Offerings
We may modify, suspend, or discontinue certain services, amenities, or offerings at any time due to operational needs, safety concerns, maintenance, or other reasons. We will make reasonable efforts to communicate material changes that affect an upcoming reservation.
Cancellation Policy
Cancellation and no-show policies vary by rate plan and are displayed at the time of booking and in your confirmation. If you cancel outside the applicable cancellation window, or if you do not arrive (a “no-show”), you may be charged a partial or full amount of the reservation (including applicable taxes and fees), as permitted by the policy associated with your booking.
7) SUPPORT;
Support
The property is operated without a traditional front desk. We provide guest support to assist with reservation questions and issues that may arise during your stay (for example: access code issues, Wi-Fi or TV troubleshooting, maintenance needs, or other property-related concerns).
How to contact us
Guest support contact details and instructions will be provided in your confirmation and/or pre-arrival communications and may also be available in-house at the Property. We may provide support through email, phone, text, and/or third-party messaging tools, and may coordinate with building personnel, vendors, or service providers as needed to address issues.
Response times and emergencies
Response times may vary based on the nature of the request, time of day, and vendor availability. For emergencies, call 911 immediately.
Post-stay surveys and reviews
We may send a post-stay survey or feedback request through email, text, and/or messaging tools. Feedback helps us improve guest experience. Where appropriate, we may invite guests who report a positive experience to leave a public review. Any information collected through these channels is handled in accordance with our Privacy Policy.
Support hours
Our standard support hours (and any after-hours procedures) will be provided in your confirmation or pre-arrival communications and may change from time to time.
Additional Policies
When you make a reservation, stay at the Property, or use the Sites or Services, you agree to comply with any additional policies, guidelines, rules, or property-specific requirements that are provided or made available to you from time to time (collectively, the “Policies”), including Property Rules, check-in requirements, building rules, and any policies presented during booking or online check-in. All Policies are incorporated into these Terms by reference.
Security Cameras (Common Areas)
For the safety and security of guests, vendors, and the Property, the Property may use security cameras in certain common areas (for example, entrances, lobbies, corridors, or other shared spaces). Cameras are not intended to capture activity inside guest accommodations. Use of security cameras (and any retention or access practices) will be handled in accordance with applicable law and our Privacy Policy.
Deliveries and Packages
To help maintain building security and operations, we do not accept or manage deliveries, packages, or mail on behalf of guests unless we explicitly state otherwise in writing. If deliveries are attempted, they may be refused or returned. To the extent permitted by law, we are not responsible for lost, delayed, misdelivered, or damaged deliveries or packages.
Reservation Information
When you make a reservation, you agree to provide current, complete, and accurate information and to keep that information up to date so we can process your reservation, complete transactions, and contact you as needed. This includes maintaining a valid email address and phone number associated with your reservation.If you change or deactivate the email address or phone number you used to make a reservation, you are responsible for updating your information promptly to help ensure you receive confirmations, access instructions, and other important communications.
Identity Verification and Fraud Prevention
To help prevent fraud and protect guests and the property, we may require identity verification as part of the online check-in/registration process and/or prior to providing access credentials. This may include collecting and scanning government-issued photo identification and validating payment information.If we are unable to verify your identity and/or payment method, we may cancel your reservation or deny access, to the extent permitted by law and consistent with the applicable cancellation policy.
Intellectual Property; Acceptable Use; Copyright Complaints (DMCA)Intellectual property
The Sites and content made available through the Sites (including text, images, graphics, logos, and software) are owned by or licensed to Nimi Hotels and are protected by applicable intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Sites for your personal, non-commercial use in connection with learning about the Property and managing reservations.
Acceptable use
You agree not to use the Sites or Services in a manner that: (a) infringes or violates the rights of others (including privacy, publicity, copyright, trademark, or other intellectual property rights); (b) is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable; (c) is deceptive or fraudulent; (d) attempts to access systems, accounts, or data without authorization; (e) introduces malware or interferes with the operation or security of the Sites; or (f) uses automated means (including bots or scrapers) to access the Sites except as permitted by law.
Copyright complaints (DMCA)
If you believe that content on our Sites infringes your copyright, you may submit a notice in accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512). Notices should include the information required by the DMCA and be sent to our designated agent at: legal@nimihotels.com with the subject line “DMCA Notice.” We may remove or disable access to allegedly infringing content and may restrict access for repeat infringers where appropriate.
Ownership; Proprietary Rights
The Sites and Services (including all text, graphics, logos, images, design elements, software, and other materials made available by Nimi Hotels) are owned by or licensed to Nimi Hotels and are protected by intellectual property laws and other applicable laws (collectively, the “Materials”). Nothing in these Terms transfers any rights in the Materials to you.Except as expressly permitted by these Terms, you may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, or otherwise use the Materials without our prior written permission. All rights not expressly granted are reserved by Nimi Hotels and its licensors.
Feedback
If you provide suggestions, ideas, enhancement requests, feedback, or recommendations regarding the Property or our Sites or Services, you agree that we may use them without restriction and without obligation to you, provided that we handle any Personal Information in accordance with our Privacy Policy.
Possession of Firearms and Weapons
To the extent permitted by applicable law, Nimi Hotels may prohibit or restrict firearms and other weapons on the Property, including in accommodations and common areas, except as otherwise required by law (for example, for on-duty law enforcement where applicable).Guests and visitors must comply with all posted rules and Property policies regarding firearms and weapons. A violation of this policy may result in cancellation of a reservation, termination of a stay, and/or removal from the Property without refund to the extent permitted by law, and may be treated as trespass.
Prohibited Actions
By making a reservation, staying at the Property, or using the Sites or Services, you agree that you will not:
Interfere with or misuse the Sites/Services.
Attempt to access, probe, scan, or test the vulnerability of our systems, breach security measures, or interfere with the operation of the Sites or Services.
Reverse engineer.
Decipher, decompile, disassemble, reverse engineer, or otherwise attempt to derive source code or underlying ideas or algorithms of the Sites or Services, except to the extent such restriction is prohibited by applicable law.
Use automated tools. Use bots, scrapers, spiders, or other automated means to access the Sites or Services or to copy, extract, or harvest content or data (except as permitted by applicable law).
Commit fraud or misrepresentation.
Use false information, impersonate another person, or otherwise mislead us or third parties in connection with a reservation or use of the Sites or Services.
Sell or re-market reservations.
Resell, re-market, transfer, or broker reservations without our prior written consent (certain corporate or group arrangements may be permitted with our approval).
Send spam or solicitations.
Send unsolicited advertising, promotions, spam, chain mail, or other solicitations through the Sites or Services.
Engage in unlawful or harmful conduct.
Use the Sites, Services, or Property for unlawful activity or conduct that is threatening, harassing, defamatory, obscene, invasive of privacy, or otherwise harmful or objectionable.
Frame or mirror.
Frame, mirror, or otherwise replicate the look and feel or functionality of the Sites without our prior written consent.
Overload systems.
Take actions that impose an unreasonable load on our infrastructure or impair the experience of others.
We may suspend or terminate access to the Sites or Services and/or cancel reservations if we reasonably believe you have violated this section, as permitted by applicable law.
Third-Party Tools and Sites
The Sites or Services may integrate with, link to, or reference third-party websites, services, tools, or booking channels (collectively, “Third-Party Services”), including third-party booking platforms and channel partners (“Booking Partners”). Third-Party Services are provided for convenience only.Nimi Hotels does not control and does not endorse Third-Party Services, and we are not responsible for their content, policies, availability, security, or practices. Your use of Third-Party Services is at your own risk and subject to the third party’s terms and policies. If you book through a Booking Partner, your reservation may also be subject to that Booking Partner’s terms, in addition to these Terms.
Text Messages; Mobile and Data Charges
We may contact you by text message (SMS), phone, email, and/or messaging tools regarding your reservation, online check-in, access instructions, guest service issues, and other operational matters. Where permitted by law, we may also send promotional messages.By providing your mobile number, you authorize us (and our service providers) to send messages to that number. Message and data rates may apply. Promotional messaging consent is not a condition of purchase. You may opt out of promotional text messages by following the instructions in the message (for example, replying “STOP”). Operational or reservation-related messages may still be sent as needed to service your reservation.
Termination; Violations of Terms
We may suspend or terminate your access to the Sites or Services and/or cancel a reservation if we reasonably believe that you have: (a) violated these Terms or Property Rules; (b) engaged in fraud, misuse, or attempted unauthorized access; (c) provided materially false information; (d) endangered the safety, security, or comfort of other guests, vendors, or the Property; or (e) engaged in unlawful activity.We may also cooperate with law enforcement and comply with legal process as required by law, including responding to lawful requests for information. Any suspected fraudulent, abusive, or illegal activity may be referred to appropriate authorities.To the extent permitted by law, we are not liable for suspension, termination, or cancellation taken in accordance with this section.
8) LEGAL TERMS
IndemnificationTo the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Nimi Hotels and its affiliates, and each of their respective officers, directors, employees, contractors, agents, service providers, and partners, from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your stay at the Property or use of the Sites or Services; (b) your violation of these Terms, Property Rules, or applicable law; (c) injury to persons or damage to property caused by you, members of your party, or your permitted visitors; or (d) your misuse of access codes or other access credentials.We reserve the right, at our expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate as reasonably requested in connection with our defense and resolution of such matters.
No Warranties; Disclaimers
To the fullest extent permitted by applicable law, the Sites and Services are provided on an “AS IS” and “AS AVAILABLE” basis. Nimi Hotels disclaims all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.We do not warrant that the Sites or Services will be uninterrupted, timely, secure, error-free, or free of harmful components, or that defects will be corrected. Any reliance on information made available through the Sites or Services is at your own risk.Nothing in these Terms limits any rights or remedies you may have that cannot be waived under applicable law.
Limitation of Liability
To the fullest extent permitted by applicable law, Nimi Hotels and its affiliates, and each of their respective officers, directors, employees, contractors, agents, service providers, and partners, will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or relating to these Terms, your reservation, your stay, the Property, the Sites, or the Services, even if advised of the possibility of such damages.To the fullest extent permitted by applicable law, the total liability of Nimi Hotels for all claims arising out of or relating to these Terms, your reservation, your stay, the Property, the Sites, or the Services will not exceed the greater of: (a) the total amount paid by you to Nimi Hotels for the reservation giving rise to the claim; or (b) one hundred dollars ($100).Some jurisdictions do not allow certain limitations of liability or the exclusion of certain damages. In those jurisdictions, our liability will be limited to the fullest extent permitted by law.
Third-Party Services
The Sites or Services may integrate with or link to third-party websites, tools, services, booking channels, messaging providers, payment processors, or other third parties. We do not control and are not responsible for third-party services, and your use of them is at your own risk and subject to the third party’s terms and policies.
Force Majeure
Nimi Hotels will not be liable for any failure or delay in performing any obligation under these Terms to the extent caused by circumstances beyond our reasonable control (“Force Majeure”), including acts of God; severe weather; fire; flood; earthquake; utility, internet, or building system outages; governmental actions or orders; war; terrorism; civil unrest; labor disputes; public health emergencies; transportation interruptions; or failures or interruptions of third-party services or suppliers.Force Majeure may also include building- or neighborhood-related disruptions outside our control, including construction, roadwork, noise, maintenance, access restrictions, protests, large gatherings, or other interruptions affecting traffic, entry, or use of surrounding areas. If a Force Majeure event materially impacts your reservation or stay, we will use commercially reasonable efforts to communicate updates using the contact information associated with your reservation. Any refunds, credits, or adjustments (if any) will be handled in accordance with the cancellation policy applicable to your booking and applicable law.
Notice
We may provide notices and communications to you by email, text message (SMS), phone, postings on our Sites, or through other reasonable methods using the contact information you provide in connection with your reservation.You are responsible for maintaining accurate contact information. Notices sent to the email address or mobile number associated with your reservation will be deemed delivered when sent, unless we receive an automated notification that the message was not delivered. Notices posted on our Sites will be effective when posted.
Dispute Resolution; Governing Law; Venue
Informal resolution first
If you have a concern or dispute related to these Terms, your reservation, or your stay, you agree to first contact us so we can attempt to resolve the issue informally. You may contact us at legal@nimihotels.com.
Governing law
These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles.
Venue
To the extent a dispute is not resolved informally and is not required to be brought in another forum by applicable law, you and Nimi Hotels agree that any legal action must be brought in the state or federal courts located in Dane County, Wisconsin, and each party consents to personal jurisdiction and venue in those courts.
Small claims
Either party may bring an individual claim in small claims court if eligible.
Time limit to file claims
To the extent permitted by law, any claim arising out of or relating to these Terms, your reservation, or your stay must be filed within one (1) year after the claim arises; otherwise, the claim is permanently barred.Nothing in this section limits any rights you may have that cannot be waived under applicable law.
MiscellaneousEntire agreement
These Terms, together with the Privacy Policy and any additional Policies or Property Rules provided at booking, during online check-in, in pre-arrival communications, posted at the Property, or during your stay, constitute the entire agreement between you and Nimi Hotels regarding your reservation, stay, and use of our Sites and Services.
Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited to the minimum extent necessary and the remaining provisions will remain in full force and effect.
No waiver.
Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision later.
Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
No relationship created
These Terms do not create any agency, partnership, joint venture, employment, or franchisor-franchisee relationship between you and Nimi Hotels.
Survival
Provisions that by their nature should survive (including payment obligations, indemnification, warranty disclaimers, limitations of liability, dispute resolution, and miscellaneous provisions) will survive termination or completion of your stay.
